How to complete an ASIC company annual review

Source review: 2026-11-06. General procedural information, not legal or tax advice. Check the linked ASIC instructions before lodging; forms, fees and portal screens can change.

    Before you start

    • Locate the annual statement, review date and payment reference.
    • Collect current company details and information directors need to assess solvency.

    How to complete the process

    • Check the annual statement and notify incorrect company details through the required change transaction.
    • Pay the annual review fee by the date on the statement, usually two months after the review date.
    • Directors pass the required solvency resolution within two months unless ASIC’s specified financial-report exemption applies.
    • Keep a positive solvency resolution internally; follow Form 485 notification rules for a negative resolution or failure to pass one in time.

    After lodgement or completion

    • Keep the statement, payment confirmation and solvency resolution together.
    • If the statement has not arrived 15 business days after the review date, contact ASIC.

    Important limits and exceptions

Annual review is not the same as annual financial reporting. Do not wait for the annual review to report a change that already has its own notification deadline.

    Keeping the company record complete

Keep approvals, consents, submitted documents and lodgement receipts with the entity record. EntityFlo can help organise records and supported workflows; guidance about a form does not mean EntityFlo supports direct lodgement of that form. Website FloSec cannot sign, lodge or access your private company records.
