When and how to lodge ASIC Form 485

Source review: 2026-11-06. General procedural information, not legal or tax advice. Check the linked ASIC instructions before lodging; forms, fees and portal screens can change.

    Before you start

    • Identify the annual review date and whether the solvency-resolution requirement applies.
    • Record whether directors passed a positive or negative resolution, or no resolution, and the relevant dates.

    How to complete the process

    • For a positive resolution, retain it internally rather than lodging Form 485.
    • For a negative resolution, lodge Form 485 within seven days after the resolution.
    • If no resolution was passed within the two-month period, lodge within seven days after that period ends.
    • Use the current Form 485 instructions and permitted channel; keep acknowledgment and obtain advice about the solvency position.

    After lodgement or completion

    • Retain the board record and any adviser instructions and do not treat lodgement as resolving insolvency.

    Important limits and exceptions

This is procedural information, not an assessment of solvency or permission to keep trading while insolvent. A qualified adviser must assess the company’s actual financial circumstances.

    Keeping the company record complete

Keep approvals, consents, submitted documents and lodgement receipts with the entity record. EntityFlo can help organise records and supported workflows; guidance about a form does not mean EntityFlo supports direct lodgement of that form. Website FloSec cannot sign, lodge or access your private company records.
