Check every eligibility condition before applying; voluntary deregistration is not a shortcut around debts or trust obligations.

How to voluntarily deregister a company with ASIC

Source review: 2026-11-06. General procedural information, not legal or tax advice. Check the linked ASIC instructions before lodging; forms, fees and portal screens can change.

    Before you start

    • All members must agree and the company must not be conducting business.
    • Assets must be less than $1,000 and there must be no outstanding liabilities.
    • The company must not be party to legal proceedings and all ASIC fees and penalties must be paid.
    • For a corporate trustee, obtain advice about replacement trustees and trust assets before closing the company.

    How to complete the process

    • Check ASIC’s voluntary deregistration conditions and resolve any issue that makes the company ineligible.
    • Deal with company assets appropriately before deregistration.
    • Prepare and lodge the Form 6010 application using the current permitted channel and pay the quoted fee.
    • Monitor ASIC’s proposed deregistration notice and final status rather than assuming submission immediately closes the company.

    After lodgement or completion

    • Retain the application and status confirmation and preserve records for the required period.

    Important limits and exceptions

Remaining assets generally vest in ASIC or the Commonwealth. ASIC recommends applying at least two weeks before the next annual review fee is due when seeking to avoid that fee; this is not a guarantee that a pending application removes payment obligations.

    Keeping the company record complete

Keep approvals, consents, submitted documents and lodgement receipts with the entity record. EntityFlo can help organise records and supported workflows; guidance about a form does not mean EntityFlo supports direct lodgement of that form. Website FloSec cannot sign, lodge or access your private company records.
