How to notify ASIC when a director resigns

Distinguish the company’s cessation notification from an officer’s personal Form 370 notification and avoid a late effective-date problem.

How to notify ASIC when a director resigns

Source review: 2026-11-06. General procedural information, not legal or tax advice. Check the linked ASIC instructions before lodging; forms, fees and portal screens can change.

    Before you start

    • Record a genuine resignation or retirement and its effective date.
    • Check whether another director remains and arrange a replacement where required.
    • Decide whether the company or the resigning officer will notify ASIC.

    How to complete the process

    • For the company route, open Form 484 in the company portal and select Appoint or cease officeholder.
    • Select the relevant person, choose Cease and enter the cessation date.
    • For an officer notifying their own resignation, follow the current Form 370 instructions and permitted agent or postal route.
    • Submit promptly and retain evidence of both the resignation and lodgement.

    After lodgement or completion

    • Confirm the recorded cessation date on ASIC’s register and update internal officer records.

    Important limits and exceptions

A director cessation notified more than 28 days later generally takes the lodgement date as its effective date. Form 370’s lack of an ordinary late fee does not remove this consequence. Ordinary notifications that leave no appointed director are rejected, subject to statutory exceptions.

    Keeping the company record complete

Keep approvals, consents, submitted documents and lodgement receipts with the entity record. EntityFlo can help organise records and supported workflows; guidance about a form does not mean EntityFlo supports direct lodgement of that form.
