    Direct answer

EntityFlo maintains the PSC (People with Significant Control) register for every UK company in your group. It detects PSCs across complex ownership chains, generates PSC01/02/04/07/09 notifications, and tracks the 14-day window required by Companies House.

    The problem

What breaks once you pass five entities.

    01

Ownership through trusts and holdings is hard to track by hand

A PSC hiding three layers deep in a structure is easy to miss without a system doing the look-through calculation.

    02

The clock starts the moment ownership changes

Not when someone notices, which means manual processes are almost always behind by the time they catch a PSC change.

    03

Getting it wrong is a criminal offence

Failure to maintain the PSC register or notify Companies House carries fines and, in serious cases, imprisonment for officers.

    What you get

    Look-through ownership, calculated automatically

EntityFlo looks through every intermediate entity in your structure, applying the same logic to trusts, partnerships and foreign parents.

    Look-through calculation

If a UK company is owned 60% by a holding company owned 50% by an individual, that 30% effective interest is surfaced as a PSC automatically.

    The 14-day rule, covered

PSC changes are detected the moment a cap table movement, trust change or director appointment triggers one.

    The full PSC form suite

    PSC01, PSC02, PSC04, PSC07 and PSC09 are all generated pre-filled from your live data.

    One register, always compliant

A Companies Act-compliant PSC register is available on demand for every entity in your group.

    How it works

    The EntityFlo operating model.

    1

Model every ownership chain: direct, trust, holding company or foreign parent.

    2

Calculate look-through ownership automatically as structures change.

    3

Detect PSC changes the moment a cap table movement triggers one.

    4

Generate the full PSC form suite pre-filled from live data.

    5

Track the 14-day internal and Companies House notification windows.

    The split

    What PSC compliance actually requires

A PSC is anyone holding more than 25% of shares or voting rights, with board appointment rights, or with significant influence or control: including through trusts and holding structures.

    FAQ

    The questions buyers actually ask.

    What is an RLE?

A Relevant Legal Entity: a UK-registered company that meets PSC conditions in its own right and sits in the ownership chain. RLEs are reportable instead of looking through them.

Do I have to keep an internal PSC register?

Yes. Every UK company must maintain a PSC register at its registered office or SAIL address. EntityFlo generates a Companies Act-compliant register on demand.

What are the penalties for getting this wrong?

Failure to maintain the PSC register or notify Companies House is a criminal offence: fines and, in serious cases, imprisonment for officers. Most failures are administrative; EntityFlo eliminates the administrative risk.

    Does this work for LLPs?

Yes. LLPs are subject to the PSC regime and are tracked alongside companies in the same register.

How does the look-through calculation work?

EntityFlo traces ownership through every intermediate entity: holding companies, trusts, foreign parents: to identify individuals whose effective interest crosses the PSC threshold.
