    Who is a PSC?

    A Person with Significant Control is any individual who: • Holds more than 25% of the shares • Holds more than 25% of the voting rights • Has the right to appoint or remove a majority of the board • Has the right to exercise, or actually exercises, significant influence or control • Has significant influence or control over a trust or firm whose trustees or members meet any of the above Maintaining this register manually is error-prone — especially when ownership runs through trusts, holding companies or offshore vehicles.

    Look-through calculation

    EntityFlo automatically looks through every intermediate entity in your structure. If a UK company is owned 60% by a holding company that is in turn owned 50% by an individual, that individual's effective 30% interest crosses the PSC threshold and they're surfaced as a PSC. The same logic applies to trusts, partnerships and foreign parents.

    The 14-day rule

    Once a PSC change occurs, you have 14 days to update your internal PSC register and a further 14 days to notify Companies House. The clock starts the moment the change happens — not when you find out about it. EntityFlo detects PSC changes the moment a cap table movement, trust change or director appointment triggers one, and surfaces the notification in the workflow inbox immediately.

    What is an RLE?

    A Relevant Legal Entity — a UK-registered company that meets PSC conditions in its own right and sits in the ownership chain. RLEs are reportable instead of looking through them.

    Do I have to keep an internal PSC register?

    Yes. Every UK company must maintain a PSC register at its registered office or SAIL address. EntityFlo generates a Companies Act-compliant register on demand.

    What are the penalties for getting this wrong?

    Failure to maintain the PSC register or notify Companies House is a criminal offence — fines and, in serious cases, imprisonment for officers. Most failures are administrative; EntityFlo eliminates the administrative risk.

    Does this work for LLPs?

    Yes. LLPs are subject to the PSC regime and are tracked alongside companies in the same register.
