Company secretary software, built with AI

The operating system for modern company secretarial work.

EntityFlo is company secretary software for groups that have outgrown spreadsheets, shared drives and outsourced inboxes. We build it around the live legal record first, then use FloSec AI to draft minutes, resolutions, consents and filings from that record.

    How it works
    1

Model the legal record first: entities, people, roles, ownership and dates.

    2

Turn every cosec task into a workflow, not a disconnected document request.

    3

Generate documents from templates and data, then let AI improve the draft.

    4

Make registry lodgement part of the same action instead of a separate portal step.

    5

Continuously scan the group so users know what is incomplete, overdue or risky.

    Direct answer

Company secretary software should keep the legal record current, produce the documents that evidence each decision, manage signatures, lodge changes with the registry and prove who approved what. AI only helps when it is grounded in that record. That is how EntityFlo is built: register first, workflow second, FloSec AI third.

    The split

What the AI does. What you still do.

The line is not arbitrary. The AI takes the drafting and tracking work where the answer is determined by the register. The human keeps anything requiring judgement, identity, or signature.

    How we built it

Four design choices that separate this from a chat wrapper.

Most AI cosec products are a thin prompt over GPT. EntityFlo is the other way around: a full entity management platform with AI as one capability. These are the calls we made.

Built on a real entity register

FloSec AI is not a wrapper around a chat model. Every prompt is grounded in your actual entity data — officers, shareholders, share classes, registered address, jurisdiction. No hallucinated director names, no invented ACNs.

    Statutory templates, not generic prose

Templates were drafted with corporate lawyers against the Corporations Act 2001 and equivalent UK / NZ / Singapore frameworks. Every clause maps to a section reference. We update templates when the law moves, not when the model does.

    Detect-only compliance engine

Our 8-category engine continuously scans every entity for gaps — missing Director IDs, lapsed insurances, overdue annual reviews, UBO chains that no longer add to 100%. It surfaces issues. It does not silently auto-fix them.

    A human signs everything

FloSec AI drafts. A named human cosec reviews and signs. The audit trail records who prompted, who reviewed, who signed, and what version of the template was used. AI never has the pen.

    Versus

EntityFlo vs generic AI vs outsourced cosec.

The three real options for a mid-market group. We are honest about where outsourced still wins — for ASX-listed entities and unusual transactions, you want a senior human in the loop.

    Buyer’s checklist

Seven questions to ask any AI cosec vendor.

Including us. If a vendor cannot answer all seven cleanly, the AI is decorative.

    1. 01

Is the AI grounded in your actual entity register, or is it pulling from a generic prompt?

    2. 02

Does the vendor maintain its own statutory templates, or does the AI generate clauses from scratch each time?

    3. 03

Can the platform lodge directly with ASIC (or your jurisdiction’s registry), or does it stop at the draft?

    4. 04

Is there a single audit trail covering prompt, draft, review, signature, and lodgement?

    5. 05

Who owns liability if the AI gets a register update wrong?

    6. 06

Can it handle trusts, partnerships and SPVs, or only Pty Ltds?

    7. 07

What happens to your data if you cancel? Can you export the full register and document vault?

    The day-to-day

What a typical cosec week looks like on EntityFlo.

    Mon

    Triage the week

Open the dashboard. Compliance engine has already flagged 4 issues across 38 entities. Two are renewals, one is a missing Director ID, one is a stale UBO chain. You assign, FloSec AI drafts.

    Wed

    Board pack

Upload the agenda. FloSec AI generates the full pack — directors’ register extract, conflict declarations, prior minutes, draft resolutions. You edit two paragraphs, send.

    Thu

    Share transfer

New shareholder coming in. One wizard: transferor + transferee + share count. Resolution, share certificate, register update and Form 484 generated together. You countersign.

    Fri

    Lodgement run

Three Form 484s queued from the week. One click lodges them via the Integrated with ASIC. Confirmations land in the audit trail.

    FAQ

    The questions buyers actually ask.

What is AI company secretary software, exactly?

Software that automates the routine drafting and tracking work of a company secretary — minutes, resolutions, consents, register maintenance, compliance reminders, regulatory filings — using AI grounded in your actual entity data. It does not replace the legal role of a company secretary, which still requires a human under the Corporations Act 2001.

Can AI legally be a company secretary in Australia?

No. Section 204A of the Corporations Act 2001 requires at least one company secretary for proprietary companies (where one is appointed) and public companies to be a natural person ordinarily resident in Australia. AI tools support the role; they do not hold it.

How is EntityFlo different from a generic AI like ChatGPT for cosec work?

ChatGPT does not know your directors, share classes, registered address or ACN. Every prompt starts from zero. EntityFlo’s FloSec AI is grounded in your live register, can lodge with ASIC, maintains a full audit trail, and uses statutory templates maintained against the Act — not generated on the fly.

What about trusts, family offices and SPV-heavy groups?

This is where AI cosec tools have the biggest impact. Trustee resolutions, distribution minutes, beneficiary changes and trust deed amendments are repetitive, formulaic, and brutal at scale. One human cosec running 30–50 entities with FloSec AI is realistic; without it, the same person tops out around 10–15.

How much does it cost compared to an outsourced provider?

EntityFlo starts at $199/mo AUD for up to 25 entities, all-in. Outsourced providers (Cas360, BoardRoom, Link, Computershare-class) typically charge $200–$500 per entity per month, plus per-filing fees and per-document drafting fees. For a 25-entity group, that is $5,000–$12,500 / month versus $199.

What does the audit trail look like?

Every artefact records: who prompted FloSec AI, the prompt itself, the template version used, who reviewed the draft, every edit, who signed, when it was lodged (if applicable), and the registry confirmation. Exportable as a single PDF bundle per action.

Who are you building this for?

Mid-market corporate groups (5–50+ entities), family offices, fund managers with SPV portfolios, and accounting / legal firms that run cosec for client groups. Sweet spot: one to three humans responsible for 20+ entities who are drowning in administrative drafting.

How do I know the AI didn’t make something up?

Every fact in a FloSec AI draft is sourced from your register. The draft shows inline citations to the data it pulled — director name from the officers table, share count from the cap table, registered address from ASIC sync. If a fact is not in the register, FloSec AI asks for it instead of inventing it.

Hand the drafting to FloSec AI. Keep the signature.

Your first entity is free, forever. Set up in under fifteen minutes. Lodge with ASIC the same day.
