Report whether shares are held for the registered member’s own benefit rather than treating the flag as a complete ultimate-owner record.

How to change beneficial holding status on ASIC’s register

Source review: 2026-11-06. General procedural information, not legal or tax advice. Check the linked ASIC instructions before lodging; forms, fees and portal screens can change.

    Before you start

    • Identify the registered holder, class, holding and the actual beneficial-status change.
    • Check trustee or nominee arrangements and record evidence internally.

    How to complete the process

    • Open the relevant company’s Form 484 and choose Change to members register.
    • Follow ASIC’s process to cease the relevant holding and add it back with the correct beneficial status.
    • Review the quantities so the transaction does not accidentally alter issued capital.
    • Submit the required notification within 28 days and retain the receipt.

    After lodgement or completion

    • Reconcile the members register and separately maintain ownership-chain and beneficial-owner evidence.

    Important limits and exceptions

ASIC’s beneficially held flag is not a full look-through beneficial ownership register. Trustee and nominee holdings may be non-beneficially held; seek advice where the legal arrangement is unclear.

    Keeping the company record complete

Keep approvals, consents, submitted documents and lodgement receipts with the entity record. EntityFlo can help organise records and supported workflows; guidance about a form does not mean EntityFlo supports direct lodgement of that form. Website FloSec cannot sign, lodge or access your private company records.
