How to notify ASIC of a share transfer

Source review: 2026-11-06. General procedural information, not legal or tax advice. Check the linked ASIC instructions before lodging; forms, fees and portal screens can change.

    Before you start

    • Check transfer restrictions, approvals and any applicable duties with the company’s adviser.
    • Collect the executed transfer details, share class, quantity, parties and effective date.
    • Confirm proprietary-company member reporting requirements.

    How to complete the process

    • Record the transfer in the company’s own members register.
    • Open Form 484 in the company portal and select Change to members register.
    • Remove the transferred holding from the outgoing member and add it to the incoming member as ASIC’s walkthrough directs.
    • Review quantities and beneficial status, then submit the required notification within 28 days.

    After lodgement or completion

    • Check the new holdings, retain the transfer evidence and arrange replacement certificates where appropriate.

    Important limits and exceptions

A transfer does not create new shares. The ASIC update does not assess tax or stamp duty and does not replace a valid transfer instrument or the company register.

    Keeping the company record complete

Keep approvals, consents, submitted documents and lodgement receipts with the entity record. EntityFlo can help organise records and supported workflows; guidance about a form does not mean EntityFlo supports direct lodgement of that form. Website FloSec cannot sign, lodge or access your private company records.
