How to maintain a company members register alongside ASIC

Source review: 2026-11-06. General procedural information, not legal or tax advice. Check the linked ASIC instructions before lodging; forms, fees and portal screens can change.

    Before you start

    • Gather the existing register, allotments, transfers and class information.
    • Identify registered members and whether holdings are beneficially held.

    How to complete the process

    • Record each member’s name, address, entry date and holding information required by ASIC’s register guidance.
    • Include allotment details and update the register when holdings change.
    • Reconcile company totals against transaction records and relevant ASIC notifications.
    • Keep the register available for inspection in accordance with the applicable rules.

    After lodgement or completion

    • Retain the supporting transaction documents and investigate discrepancies rather than overwriting them without evidence.

    Important limits and exceptions

ASIC’s proprietary-company register reporting can focus on the top 20 members in a class. The company’s own register must still record all members; do not mistake reporting scope for permission to omit members.

    Keeping the company record complete

Keep approvals, consents, submitted documents and lodgement receipts with the entity record. EntityFlo can help organise records and supported workflows; guidance about a form does not mean EntityFlo supports direct lodgement of that form. Website FloSec cannot sign, lodge or access your private company records.
