How to notify ASIC of a share issue

Source review: 2026-11-06. General procedural information, not legal or tax advice. Check the linked ASIC instructions before lodging; forms, fees and portal screens can change.

    Before you start

    • Check the constitution, any shareholder agreement and required approvals, including pre-emption rights.
    • Record class, quantity, amount paid and unpaid, allotment date and each recipient.
    • Confirm whether proprietary or public-company reporting requirements apply.

    How to complete the process

    • Complete the company approvals and record the actual allotment.
    • Update the members register and prepare the relevant share certificates.
    • Use the appropriate share and member sections of the online Form 484 transaction.
    • Review both share structure and member holdings; lodge the required issue notification within 28 days.

    After lodgement or completion

    • Reconcile ASIC confirmation to the issued capital and internal holdings; retain approvals and receipts.

    Important limits and exceptions

Share issue, transfer, cancellation, capital reduction and buy-back are not the same transaction. Additional approvals or forms can apply; public-company member reporting differs from proprietary-company reporting.

    Keeping the company record complete

Keep approvals, consents, submitted documents and lodgement receipts with the entity record. EntityFlo can help organise records and supported workflows; guidance about a form does not mean EntityFlo supports direct lodgement of that form. Website FloSec cannot sign, lodge or access your private company records.
