Company Deregistration

Manage voluntary deregistration of companies through EntityFlo. Eligibility checks, Form 6010 lodgement, and end-of-life entity management in one workflow.

    Close entities properly

Deregistering a company is often more complex than incorporating one. Eligibility requirements must be met, outstanding obligations must be cleared, and the ASIC deregistration process must be followed correctly. When deregistration is handled informally — or worse, when entities are simply abandoned — the compliance consequences accumulate. EntityFlo's company deregistration workflow guides you through the entire process, from eligibility assessment through to ASIC lodgement and post-deregistration record management.

    Eligibility assessment

Before a company can be voluntarily deregistered, ASIC requires that several conditions are met: • All members agree to the deregistration • The company is not carrying on business • The company has no outstanding liabilities • The company is not a party to any legal proceedings • The company's assets are worth less than $1,000 • The company has paid all fees and penalties owed to ASIC EntityFlo checks these conditions against your entity records and compliance status, flagging any issues that need to be resolved before deregistration can proceed. Outstanding compliance obligations, unpaid fees, and active liabilities are surfaced automatically.

    Form 6010 lodgement

Once eligibility is confirmed, EntityFlo prepares and lodges the Form 6010 (Application for Voluntary Deregistration) directly with ASIC. The form is pre-populated with the company's details and submitted electronically, with confirmation receipt and reference number tracked in EntityFlo. The two-month notice period following ASIC's publication of the deregistration notice is tracked automatically, with alerts if any objections are received or if ASIC requires additional information.

    Post-deregistration record management

After deregistration is confirmed, EntityFlo updates the entity's status to 'deregistered' and archives its records. The entity remains in your system as a historical record — searchable, auditable, and available for reference — but is clearly marked as deregistered and excluded from active compliance tracking. This approach ensures you maintain a complete historical record of every entity that has existed in your group, which is important for legal, tax, and audit purposes even after the entity ceases to exist.
