    What the RBO requires

    Every Irish corporate entity must identify its beneficial owners — any individual who ultimately owns or controls more than 25% of the shares, voting rights, or otherwise exercises control — and file them with the Central Register of Beneficial Ownership (RBO). Updates must be filed within 14 days of any change. Failure is a criminal offence carrying fines up to €500,000.

    Which entities must file with the RBO?

    All Irish-incorporated corporate and legal entities, including private limited companies, DACs, CLGs, unlimited companies, partnerships and ICAVs.

    What if there are no beneficial owners above 25%?

    In that case, the senior managing officials (typically directors and senior officers) must be filed as beneficial owners. EntityFlo handles this automatically.

    Does EntityFlo file directly with the RBO?
